Terms of Service

1. Acceptance and eligibility

By creating an account, downloading Ducoro, or using the Services, you agree to these Terms and our Privacy Policy. You must be at least 16 years old and legally able to enter this agreement. If you use Ducoro for an organization, you confirm that you have authority to bind that organization.

2. What Ducoro provides

Ducoro lets you delegate work to Bots, keep that work running through conversations and automation, and review messages, results, execution records, and charges. Bots work on the device you connect to Ducoro using the models, tools, and files you make available.

The Services also include optional cloud account, encrypted device relay, connector, membership, wallet, and Built-in Agent features. Features may be released as previews, changed, limited, or discontinued as the product develops.

3. Accounts and device security

• Provide accurate account information and keep your sign-in methods secure.
• You are responsible for activity performed through your account, paired devices, local runtime sessions, credentials, and connectors until you revoke or secure them.
• Tell us promptly if you suspect unauthorized account or payment activity. We may require identity verification before changing access or disclosing account information.
• Keep suitable backups of important conversations, files, credentials, and execution records. Ducoro’s cloud account is not a backup of files on your connected device.

4. Your content, local data, and permissions

You retain your rights in prompts, conversation content, files, instructions, configurations, and outputs you create or supply (“Your Content”). You grant us a limited, worldwide, non-exclusive license to host, transmit, reproduce, and process Your Content only as reasonably necessary to provide, secure, and support the Services you request.

You are responsible for having the rights and permissions needed for Your Content and for every local folder, repository, account, connector, and third-party service you make available to a Bot. Local data remains subject to the access controls and backup practices of the device and operating-system account where it is stored.

Selected folders identify working locations and context. Bots and external runtimes operate with the file-system permissions of the operating-system account running them. Authorized file operations modify the actual files in that location, including when moving or deleting them. Work that uses the same folder shares those files. Consider these permissions and keep appropriate backups when authorizing work.

5. Bots, automation, and outputs

Ducoro can start Bot runs from conversation, mentions, schedules, triggers, or other events. You choose the Bots, tools, folders, budgets, expiry, and other boundaries for automated runs. You remain responsible for those instructions and for reviewing the actions and results produced under them.

Configured usage budgets are checked before eligible runs against currently recorded usage. Charges from accepted requests can settle after that check. Provider usage limits and charges apply separately when you use your own API keys or subscriptions.

AI and agent outputs can be incomplete, inaccurate, offensive, insecure, or unsuitable for your purpose. Similar or identical outputs may be produced for other users. Apply appropriate human review before relying on an output, publishing it, executing code, spending money, changing production systems, or taking another consequential action. Ducoro is not a substitute for professional legal, medical, financial, or safety advice.

6. External runtimes, models, and connectors

Ducoro can work with external runtimes including Claude Code, Codex, and Pi Agent, along with AI model providers, MCP servers, Composio, and services you connect. Those services are supplied by third parties and governed by their own agreements, privacy policies, availability, usage limits, pricing, and output licenses.

You are responsible for third-party accounts, API keys, subscriptions, charges, and compliance. We may pass the context and tool calls needed to perform the action you request, but we do not control a third party’s service, model behavior, retention, or security.

7. Acceptable use

You must not use the Services to:

• Break the law, violate another person’s rights, or facilitate fraud or abuse.
• Introduce malware, evade security controls, probe systems without authorization, or interfere with the Services or another user.
• Access accounts, devices, files, credentials, or connected services without permission.
• Misrepresent the origin of automated content, impersonate others, or use outputs in a deceptive or harmful manner.
• Resell, reverse engineer, scrape, or overload the Services except where law or an applicable open-source license expressly permits it.

We may investigate suspected abuse and suspend or restrict access where reasonably needed to protect users, third parties, or the Services.

8. Paid services

Memberships and wallet credits are separate

An active trial or paid membership is required to top up your wallet and use wallet-funded services, including Built-in Agent models, web search, web retrieval, and image generation. These services also require available wallet credit. Membership fees and metered usage are separate purchases, and a top-up does not extend your membership or create a membership. Any included promotional credit is shown with the offer. Voluntary membership refunds require an unused purchase and a request within 14 days of payment, subject to statutory rights and payment corrections described in our Refund & Return Policy.

Your balance and billing history remain when membership expires. Activate membership again to use the remaining balance. Requests accepted before expiry can complete and be charged; new wallet-funded requests require active membership. Account sign-in and use of your own supported model subscriptions, API keys, or local models remain available, with provider charges and terms applying separately.

Trials

The signup offer states the trial duration and any promotional credit. Your account records the expiry and credit awarded at signup. The signup trial ends without automatically charging for a membership. You can purchase a paid membership during or after the trial; paid access begins when that purchase takes effect. Top-ups during a trial follow the same refund policy as other top-ups.

Pricing and metered usage

Your payment amount and currency are shown at checkout. Wallet credit is denominated in US dollars. Built-in Agent text-model usage is charged from your wallet using the provider’s cost record and any applicable member discount for that model. Where a usable provider cost record is unavailable, we calculate the charge from the applicable catalog rates and reported or estimated usage, with the applicable model discount. Displayed per-token rates are estimates. Image generation is charged using the image provider’s cost record; text-model discounts do not apply to those charges. You authorize us to apply these debits to your wallet.

Ducoro’s separate web-search and web-retrieval tools currently require active membership and a positive wallet balance and are supplied without a separate wallet debit. Model requests that use their results are charged normally. A model provider’s own search or other paid features can also contribute to that model request’s cost.

Recurring plans

Monthly and yearly memberships renew automatically until canceled. You can manage renewal, cancellation, and payment methods through the Stripe billing portal made available in Ducoro. Cancellation takes effect at the end of the current paid period unless law or our refund policy requires otherwise. Taxes and payment-provider fees may apply.

An upgrade from monthly to yearly billing applies the unused value of the current period to the new billing cycle. An upgrade to lifetime access ends the recurring membership immediately and applies the quoted unused value to the lifetime price. Any remainder is issued as Ducoro wallet upgrade credit. Refunds involving converted payment value are assessed under our Refund & Return Policy. A refund or payment dispute tied to an upgrade ends the resulting lifetime membership immediately.

Refund eligibility is governed by our Refund & Return Policy, which preserves any mandatory rights available under applicable law.

9. Ducoro intellectual property

The Services, brand, design, software, documentation, and other Ducoro materials are owned by Dessix Ltd. or its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for your own personal or business purposes. Components distributed under an open-source license remain governed by that license.

If you send feedback, you allow us to use it without restriction or payment, while you keep any rights you already hold in the underlying material.

10. Availability, suspension, and termination

We aim to keep the Services reliable but do not promise uninterrupted availability. We may perform maintenance, respond to security incidents, enforce usage limits, or change dependencies. We may suspend or terminate access for a material breach, security risk, unpaid amount, unlawful use, or harm to the Services or others.

You may stop using Ducoro at any time. Ending cloud access does not itself erase local files on your devices. Provisions that by their nature should survive termination, including payment obligations, ownership, disclaimers, liability limits, and dispute terms, will survive.

11. Disclaimers

To the fullest extent permitted by law, the Services are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, satisfactory quality, title, non-infringement, and that the Services or outputs will be accurate, secure, uninterrupted, or error-free. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.

For consumers, applicable statutory standards for services and digital content, including reasonable care and skill and the remedies available for faulty supply, continue to apply.

12. Limitation of liability

To the fullest extent permitted by law, Dessix Ltd. and its officers, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive loss; loss of profits, revenue, goodwill, data, or business opportunity; or loss caused by a third-party runtime, provider, connector, output, or action you authorized.

Dessix Ltd.’s total liability arising from the Services will not exceed the greater of £100 or the amount you paid us during the 12 months before the event giving rise to the claim. These limits do not apply to fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or another liability that law does not allow us to limit.

13. Governing law and disputes

These Terms are governed by the laws of England and Wales. The courts of England and Wales have jurisdiction, except that a consumer may also have mandatory rights to bring a claim in the courts of the country where they live. Before filing a formal claim, please contact us so we can try to resolve the issue.

14. Changes and general terms

We may update these Terms to reflect changes in the Services, law, security, or business operations. The current version will be posted here with its effective date. Material changes will receive additional notice where required. If one provision is unenforceable, the remaining provisions stay in effect. A delay in enforcement is not a waiver. You may not transfer this agreement without our consent; we may transfer it as part of a merger, reorganization, financing, or sale of the relevant business.
